Terms of Service

1. Acceptance of Terms

By accessing or using the BuilderOS platform ("Service"), operated by BuilderOS LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (individually or on behalf of the entity you represent) and BuilderOS LLC. By creating an account, subscribing to a plan, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

You must be at least 18 years of age to use the Service. By using BuilderOS, you represent and warrant that:

• You are at least 18 years old.
• You have the legal authority to enter into these Terms.
• If you are using the Service on behalf of an organization, you have the authority to bind that organization to these Terms.
• Your use of the Service does not violate any applicable law or regulation.

3. Service Description

BuilderOS is a subscription-based, multi-tenant SaaS construction project management platform. The Service provides tools for:

• Project management with hierarchical task organization
• Cost tracking, budgeting, and estimate management
• Task scheduling, calendar views, and Gantt charts
• Time tracking and timecard management
• Expense management and vendor payments
• General ledger accounting and financial reporting
• Bank account integration via Plaid
• Team collaboration, notifications, and file sharing
• Client and trade partner portal access

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes.

4. Account Registration & Security

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

4.1Multi-Factor Authentication

BuilderOS may require multi-factor authentication (MFA) for certain user roles, including Owner, Admin, and Accountant roles. MFA may be delivered via email or SMS text message. By enabling SMS-based MFA, you agree to the SMS Consent Policy.

4.2Account Organization

Each account operates within an isolated organizational tenant. The account owner is responsible for managing users, roles, and permissions within their organization. User roles include Owner, Admin, Accountant, Manager, Member, Client, and Trade Partner, each with specific access levels.

5. Subscriptions & Billing

5.1Subscription Plans

Access to the Service requires a paid subscription. Subscription details, including pricing and features, are available on our website. By subscribing, you agree to pay the applicable fees for your selected plan.

5.2Billing & Payment

• Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected).
• All fees are non-refundable except as required by law or as expressly stated in these Terms.
• You authorize us to charge your designated payment method for all applicable fees.
• We reserve the right to change subscription pricing with 30 days' prior notice.

5.3Free Trials

If we offer a free trial, you may use the Service at no charge for the trial period. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan at the then-current rate.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload, transmit, or distribute any viruses, malware, or malicious code.
• Attempt to gain unauthorized access to the Service, other accounts, or any related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service for any fraudulent, deceptive, or illegal purpose.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Scrape, harvest, or collect data from the Service by automated means without permission.
• Resell, sublicense, or redistribute the Service without our written consent.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Violation of this policy may result in immediate suspension or termination of your account.

7. User Content

7.1Ownership

You retain all ownership rights to the data, documents, files, and other content you upload, create, or store through the Service ("User Content"). BuilderOS does not claim ownership of your User Content.

7.2License Grant

By uploading User Content, you grant BuilderOS a limited, non-exclusive, worldwide license to store, process, and display your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your User Content or close your account.

7.3Responsibility

You are solely responsible for your User Content and any consequences of uploading or sharing it. You represent that you have all necessary rights and permissions to upload and share your User Content through the Service.

8. Intellectual Property

The Service, including its design, features, functionality, software, text, graphics, logos, and trademarks, is owned by BuilderOS LLC and is protected by copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during your subscription period. No other rights are granted.

9. SMS/Text Messaging Terms

9.1Program Name

BuilderOS Two-Factor Authentication (2FA) SMS Program.

9.2Program Description

When you enable SMS-based two-factor authentication, BuilderOS will send one-time verification codes via SMS text message to the phone number you provide. These messages are used exclusively for identity verification during login and security-related actions.

9.3Message Frequency

Message frequency varies based on your login activity. Typical usage is 1–3 messages per day. Messages are only sent when you initiate a login or security action.

9.4Message & Data Rates

Message and data rates may apply. Standard messaging rates from your mobile carrier apply. BuilderOS does not charge for sending these messages.

9.5Opt-In / Consent

SMS-based 2FA is entirely optional and user-initiated. To opt in, you must:

• Navigate to your Security Settings and select SMS as your 2FA method.
• Enter your mobile phone number.
• Check the SMS consent checkbox explicitly agreeing to receive SMS text messages.
• Complete phone number verification by entering the code sent to your device.

No SMS messages will be sent until you have actively opted in and verified your phone number. For full consent details, see our SMS Consent Policy.

9.6Opt-Out

You may opt out of SMS messages at any time by:

• Replying STOP to any message from BuilderOS.
• Disabling SMS-based 2FA in your Security Settings.
• Switching to email-based 2FA.
• Removing your phone number from your account profile.

After opting out, you will no longer receive SMS text messages. You may still use email-based 2FA for account security.

9.7Help

For assistance with SMS messaging, reply HELP to any message from BuilderOS or contact us at support@builder-scope.com.

9.8No Marketing Messages

BuilderOS will never send marketing, promotional, or advertising messages via SMS. Messages are limited exclusively to security verification codes.

9.9Carrier Liability

Carriers are not liable for delayed or undelivered messages. Message delivery is subject to your carrier's coverage and network conditions.

10. Electronic Communications

By using the Service, you consent to receive electronic communications from us, including:

• Account notifications and verification emails
• Service updates and maintenance notices
• Security alerts and MFA verification codes
• Billing and subscription-related communications
• Project notifications and collaboration updates

You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

11. Bank Account Integration

BuilderOS offers optional bank account integration through Plaid, Inc., a third-party financial data aggregation service. By using this feature:

• You authorize BuilderOS to access your financial account information through Plaid.
• You acknowledge that your use of Plaid is subject to Plaid's Terms of Service and Privacy Policy.
• You understand that BuilderOS stores transaction data to provide bank feed reconciliation and accounting features.
• You may disconnect your bank accounts at any time through the Plaid Settings page.

BuilderOS encrypts sensitive financial tokens at rest and does not store your bank login credentials.

12. Financial Data & Accounting

BuilderOS provides accounting and financial management tools for construction project management. You acknowledge and agree that:

• BuilderOS is not a licensed accounting firm, CPA, or financial advisor.
• The accounting features are provided as management tools and are not a substitute for professional accounting advice.
• You are responsible for the accuracy of financial data you enter into the system.
• You should consult a qualified accountant or tax professional for accounting, tax, and compliance matters.
• BuilderOS is not liable for any financial losses, tax penalties, or accounting errors resulting from your use of the platform.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BuilderOS does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The results obtained from using the Service will be accurate or reliable.
• Any defects in the Service will be corrected.
• The Service will meet your specific requirements.

You use the Service at your own risk. We are not responsible for any decisions you make based on information provided through the Service.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDEROS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you have paid to BuilderOS in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless BuilderOS LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or third-party rights.
• Any User Content you upload, share, or create through the Service.

16. Termination

16.1By You

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease. Prepaid fees are non-refundable unless required by law.

16.2By Us

We may suspend or terminate your account at any time, with or without cause, including for violation of these Terms. We will make reasonable efforts to provide notice before termination except in cases of severe policy violations.

16.3Effect of Termination

Upon termination, we will retain your data for a reasonable period (typically 30 days) to allow you to export your information. After that period, your data may be permanently deleted. Sections of these Terms that by their nature should survive termination will survive, including Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

17. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of laws provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction.

Any arbitration shall take place in Madison County, Alabama. You agree that any claim must be brought within one (1) year after the cause of action arises.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Service and close your account.
